1. Scope and Application
This Instructor Agreement ("Agreement") applies to all individuals who create, manage, or deliver educational content on the Nyson Learning Academy Platform ("Platform"), including:
- Teachers — Course instructors and educators
- Mentors — Student advisors and career counselors
- Evaluators — Assessment graders and evaluators
- Content Administrators — Content review and approval personnel
By accepting an instructor role on the Platform, you agree to be bound by this Agreement in addition to the Terms of Service and Acceptable Use Policy.
2. Confidentiality Obligations
As an instructor, you may have access to confidential information including:
- Platform architecture, algorithms, and proprietary technology
- Business strategies, pricing models, and financial information
- User data, student records, and performance metrics
- Unpublished course content and question banks
- Internal tools, processes, and workflows
You agree to:
- Maintain strict confidentiality of all confidential information
- Not disclose confidential information to any third party
- Use confidential information solely for performing your duties on the Platform
- Return or destroy all confidential information upon termination of this Agreement
3. Intellectual Property Assignment
By creating content on the Platform, you hereby assign to the Company all right, title, and interest in and to:
- All course content, lessons, and curricula you create
- All assessments, questions, and question banks you develop
- All notes, flashcards, and study materials you produce
- All code, exercises, and interactive content you build
- All audio, video, and multimedia content you create
- Any improvements, modifications, or derivative works of the above
This assignment is worldwide, perpetual, irrevocable, and includes all rights under copyright, patent, trade secret, and other intellectual property laws.
4. Content Ownership
4.1 Company-Owned Content
The following content is owned by the Company from the moment of creation:
- Content created using Company resources, tools, or during Company-directed activities
- Content that is based on Company-provided specifications or requirements
- Content created as part of your contractual duties on the Platform
4.2 Pre-Existing Content
If you use pre-existing content that you created before your engagement with the Company:
- You must disclose such content before using it on the Platform
- You grant the Company a non-exclusive, worldwide, perpetual license to use, modify, and distribute such content
- The Company may request documentation of ownership
5. Conduct Standards
As an instructor, you must:
- Maintain a professional and respectful demeanor at all times
- Treat all students, colleagues, and staff with dignity and respect
- Avoid any form of discrimination, harassment, or bullying
- Deliver content that is accurate, up-to-date, and professionally prepared
- Respond to student queries in a timely manner
- Adhere to the Company's content quality standards
- Comply with all applicable laws and regulations
6. Data Privacy Obligations
You agree to:
- Comply with all applicable data protection laws and regulations
- Only access student data that is necessary for performing your duties
- Not copy, download, or export student data from the Platform
- Not share student data with any unauthorized third party
- Report any data breaches or security incidents immediately
- Complete all required data protection training
7. Student Information Protection
Student information is strictly confidential. You must NOT:
- Share student names, contact details, or academic records with anyone outside the Platform
- Contact students through personal (non-Platform) communication channels without authorization
- Screenshot, record, or photograph student information
- Use student information for any purpose other than educational delivery
- Discuss individual student performance with unauthorized parties
8. Account Security
You are responsible for:
- Maintaining the security of your instructor account
- Using a strong, unique password
- Not sharing your account credentials with anyone
- Logging out after each session
- Reporting any unauthorized access immediately
- Keeping your contact information up to date
9. Performance Expectations
The Company may evaluate your performance based on:
- Student satisfaction ratings and feedback
- Course completion rates
- Quality and accuracy of content
- Timeliness of grading and feedback
- Compliance with Platform policies
- Student engagement metrics
Failure to meet performance standards may result in additional training, reduced responsibilities, or termination of this Agreement.
10. Platform Usage Restrictions
As an instructor, you must NOT:
- Use the Platform for any unauthorized commercial activity
- Compete with the Company by offering similar services outside the Platform
- Solicit students for external services or products
- Use Platform resources for personal projects unrelated to your duties
- Reverse engineer any Platform tools or features
- Attempt to access restricted areas of the Platform
11. Termination Rights
11.1 Termination by the Company
The Company may terminate this Agreement:
- For cause — including breach of this Agreement, policy violations, or misconduct
- Without cause — with 30 days' written notice
- Immediately — in cases of serious misconduct, fraud, or legal violations
11.2 Effect of Termination
Upon termination:
- All Platform access is immediately revoked
- You must return or destroy all Company confidential information
- The Company retains ownership of all content you created
- Outstanding payments will be processed per the Company's standard payment schedule
- Confidentiality obligations survive termination indefinitely
