1. Acceptance of Terms
By accessing, browsing, or using the Nyson Learning Academy platform ("Platform"), operated by Nyson AI Connect Pvt Ltd ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you must immediately discontinue use of the Platform. Your continued use of the Platform constitutes ongoing acceptance of these Terms and all applicable policies referenced herein.
2. Eligibility Requirements
The Platform is available only to individuals who:

- Are not barred from using the Platform under applicable law

3. Minor Users and Parental Consent
Users under the age of 18 ("Minors") may use the Platform only with the involvement and consent of a parent or legal guardian ("Parent").
- The Parent must accept these Terms on behalf of the Minor
- The Parent assumes full responsibility for the Minor's use of the Platform
- The Parent is liable for all activities conducted through the Minor's account
- We reserve the right to verify parental consent at any time
- We reserve the right to terminate any Minor's account if proper consent is not verified
4. Account Creation and Security
4.1 Account Registration
To access certain features, you must create an account. You agree to:
- Provide truthful, accurate, and complete registration information
- Maintain the confidentiality of your login credentials
- Accept full responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
4.2 Account Security
You are solely responsible for maintaining the security of your account credentials. We will not be liable for any loss or damage arising from your failure to secure your account. You must:
- Use a strong, unique password
- Enable two-factor authentication when available
- Not share your account credentials with any third party
- Log out after each session, especially on shared devices
5. User Responsibilities
As a User of the Platform, you agree to:

- Comply with all applicable local, state, national, and international laws

6. Course Access Limitations
Course access is strictly limited to:
- The specific courses for which you have enrolled and paid (if applicable)
- The duration specified in your enrollment or subscription
- For enrolled students only — access to course materials, assessments, notes, assignments, coding exercises, discussion forums, and resources is restricted to courses in which you are officially enrolled
7. Subscription Terms
7.1 Institute and School Subscriptions
Institutes, schools, and colleges may purchase subscription-based access to the Platform. Subscription terms include:
- Subscriptions are non-transferable between entities
- Access is limited to the number of seats purchased
- The Company reserves the right to audit seat usage
- Overuse may result in additional charges or account suspension
7.2 Teacher Subscriptions
Teacher accounts may be approved, suspended, or terminated at the Company's sole discretion. Teacher access is subject to:
- Platform usage policies and content quality standards
- Regular performance reviews
- Compliance with the Instructor Agreement
8. Payment Obligations
All payments made to the Platform are subject to the following terms:
- All prices are in the currency specified at the point of purchase
- Payment is due in full at the time of purchase
- Failed payments may result in account suspension
- You are responsible for any applicable taxes
- The Company reserves the right to change pricing with reasonable notice
9. No Refund Policy
All purchases are final and non-refundable. This includes but is not limited to:
- Course purchases
- Subscription fees
- Certification fees
- Any other payments made through the Platform

10. Intellectual Property Ownership
All content on the Platform — including but not limited to courses, notes, videos, images, assessments, question banks, coding exercises, software, logos, and branding — is the exclusive property of Nyson AI Connect Pvt Ltd unless otherwise stated.
No content on the Platform may be copied, reproduced, distributed, recorded, or used for any commercial purpose without prior written consent from the Company.
11. License Restrictions
Upon enrollment, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the course content for personal educational purposes only. You may NOT:
- Copy, modify, or distribute course content
- Record live or recorded classes
- Share your access credentials with others
- Use the content for commercial purposes
- Reverse engineer any software or tools provided
- Remove or alter any copyright or proprietary notices
12. Course and Account Sharing Prohibition
Specific prohibitions include:
- Sharing login credentials with any third party
- Allowing others to access courses through your account
- Sharing, uploading, or distributing course materials on any platform
- Creating derivative works from course content
- Screen recording or capturing course content for redistribution
13. Examination and Certification Rules
All examinations and certifications are subject to:
- Strict identity verification
- Academic integrity standards — cheating, plagiarism, and unauthorized assistance are prohibited
- Proctoring and monitoring during examinations
- The Company's right to revoke certificates for policy violations
- Certificates are issued at the Company's discretion and may be revoked
14. Suspension and Termination Rights
The Company reserves the right to suspend or terminate your account at any time, with or without cause, including but not limited to:
- Violation of these Terms or any applicable policy
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Requests by law enforcement
- Extended periods of inactivity
- Engagement with the Platform that poses a legal risk to the Company
15. Platform Modification Rights
The Company reserves the right to:
- Modify, update, or discontinue any feature of the Platform at any time
- Change course content, pricing, or availability
- Update these Terms with reasonable notice
- Schedule maintenance that may temporarily interrupt service
16. Disclaimers and Limitation of Liability
16.1 General Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
16.2 Service Interruption Disclaimer
The Company does not guarantee uninterrupted, timely, or error-free operation of the Platform. The Platform may be temporarily unavailable due to scheduled maintenance, upgrades, server failures, or circumstances beyond our control. The Company is not liable for any loss or inconvenience resulting from service interruptions.
16.3 Technology Limitations Disclaimer
The Platform relies on third-party infrastructure, internet connectivity, and user hardware/software. The Company is not responsible for failures caused by: incompatible devices, slow internet connections, browser incompatibilities, or third-party service outages. Users are responsible for ensuring their technical setup meets Platform requirements.
16.4 AI-Generated Content Disclaimer
The Platform may include AI-generated content, recommendations, assessments, or tutoring responses. Such content is provided for educational purposes only and may contain inaccuracies. AI-generated content is NOT a substitute for professional instruction, medical advice, legal advice, or other qualified professional guidance. The Company makes no warranties regarding the accuracy, completeness, or reliability of AI-generated content and assumes no liability for decisions made based on such content.
16.5 Limitation of Liability
IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. THE TOTAL LIABILITY OF THE COMPANY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
17. Indemnification
You agree to indemnify, defend, and hold harmless Nyson AI Connect Pvt Ltd and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of a third party
- Any content you submit or transmit through the Platform
18. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be resolved through:

- Mediation: If informal resolution fails, parties agree to mediation
- Arbitration: Binding arbitration under the Arbitration and Conciliation Act, 1996
- Jurisdiction: Courts in India shall have exclusive jurisdiction

The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power outages, internet failures, or government actions.
